The world's most famous song was once a multi-million dollar corporate secret
In short: For decades, Warner/Chappell Music claimed ownership of Happy Birthday to You, extracting millions in annual licensing fees from filmmakers and broadcasters. The song was treated as a private asset until a 2013 lawsuit exposed that the company never actually held a valid copyright to the lyrics or melody.
The melody originated from the 1893 song Good Morning to All, attributed to sisters Patty and Mildred J. Hill. While the tune became a global staple, its legal status remained murky for over a century. In 1988, Warner/Chappell purchased the company owning the copyright for $25 million, estimating the song's value at $5 million. By 2008, the firm was collecting roughly $2 million annually in royalties, charging up to $700 for a single use.
The turning point arrived when filmmaker Jennifer Nelson, who paid $1,500 to use the song in a documentary, filed a class-action lawsuit. Her legal team uncovered a 1922 edition of The Everyday Song Book that included the lyrics with a credit line suggesting the work had been published without a valid copyright notice. This evidence challenged the long-held assumption that the song was protected under a 1935 registration, which the court eventually ruled applied only to a specific piano arrangement.
In September 2015, federal judge George H. King declared the copyright claim invalid. The following year, Warner/Chappell agreed to a $14 million settlement, and the court officially placed the song in the public domain. This ruling ended a period where the song's copyright status had stifled its inclusion in historical media, such as the documentary Eyes on the Prize, which was unavailable for years due to clearance costs. Today, the song is free for all to use, marking the end of one of the most lucrative and contested intellectual property claims in history.
