Why JP Morgan is suing Tesla for $162 million over 2018 tweets

JP Morgan has taken Tesla to court, alleging the automaker breached a contract tied to stock warrants. This dispute stems from Elon Musk's 2018 announcement about taking Tesla private, which the bank claims triggered specific financial obligations that remain unpaid.

The conflict centers on warrants sold by Tesla to JP Morgan, which granted the bank the right to purchase shares if the strike price fell below Tesla's market value at the time of expiration in 2021. JP Morgan argues that the contract included standard ISDA provisions designed to protect both parties during significant corporate events, such as a move to take the company private.

According to the lawsuit filed in Manhattan federal court, JP Morgan contends that Tesla failed to meet its contractual duties despite being given multiple opportunities to resolve the matter. The bank is now seeking $162 million in damages, claiming Tesla's actions flagrantly violated their agreement.
