How a Corporate Tug-of-War Created Two Different Rolls-Royce Legacies

The modern Rolls-Royce is a masterpiece of British luxury, yet its existence stems from a complex 1998 corporate battle. When Volkswagen outbid BMW for the historic brand, a split in trademark ownership forced a unique negotiation that redefined the future of both Rolls-Royce and Bentley forever.

In 1998, the sale of Rolls-Royce Motors triggered a high-stakes standoff. While Volkswagen secured the production facilities, designs, and the Bentley name for £430 million, they lacked the rights to the iconic Rolls-Royce brand name and logo. These remained with the aero-engine maker Rolls-Royce Holdings plc, which chose to license them to BMW for £40 million due to existing business ties.

This split created an impossible situation for Volkswagen: they owned the factories but could not use the Rolls-Royce name without BMW's permission. Furthermore, BMW held the power to cancel engine supply contracts with only 12 months' notice, a timeframe too short for Volkswagen to re-engineer the vehicles. The resulting negotiations saw Volkswagen agree to transfer the Spirit of Ecstasy and grille trademarks to BMW, while BMW continued supplying engines until 2003.

This period allowed BMW to establish its own dedicated production facility at the 42-acre Goodwood plant in West Sussex. Since 2003, the BMW-owned Rolls-Royce Motor Cars has operated as a distinct entity, producing models like the Phantom, Ghost, Cullinan, and the electric Spectre. Meanwhile, Volkswagen became the direct successor to the previous Rolls-Royce Motors, continuing the legacy of the Bentley brand.

The transition marked a new era of growth. By 2010, the company saw a 600% sales increase in China, and by 2023, it achieved a record-breaking annual output of 6,032 vehicles. Under long-serving CEO Torsten Müller-Ötvös, who retired in 2023, the brand focused on reclaiming its reputation for quality, cementing its status as a global icon of luxury.
