In short: Metro-Goldwyn-Mayer, a titan of cinema, faced a turbulent decade of debt and restructuring. After failing to secure a buyer during the 2009 financial crisis, the studio entered Chapter 11 bankruptcy. Its journey from a creditor-owned entity to a key component of Amazon's streaming strategy reveals the volatile economics of modern entertainment.

Founded in 2005 by a consortium led by Sony, MGM Holdings was built on a US$4.8 billion leveraged buyout. By 2009, the studio struggled under the weight of its long-term debt. CEO Stephen Cooper attempted to restructure, but lenders insisted on a sale to recover their investments. Despite interest from major players like Time Warner and 20th Century Fox, the studio could not find a buyer willing to meet the $2 billion minimum valuation, leading to a Chapter 11 bankruptcy filing on November 3, 2010.

Emerging from bankruptcy in December 2010, the studio was controlled by its secured lenders, including Credit Suisse and JPMorgan Chase. The following years were marked by aggressive consolidation and asset management. MGM bought out Carl Icahn’s stake for US$590 million in 2012 and acquired the remaining interest in United Artists Media Group in 2015. Leadership remained unstable; chairman Gary Barber was fired in 2018, and the company navigated various shifts in strategy, including the expansion of television production and the eventual pivot toward streaming.

The COVID-19 pandemic accelerated the studio's final transition. In May 2021, Amazon announced its intent to acquire MGM for $8.45 billion. The deal closed in March 2022, and by October 2023, MGM Holdings was fully absorbed into Amazon Studios to form Amazon MGM Studios. This merger integrated iconic assets, such as the James Bond franchise, into Amazon's broader ecosystem, while legacy cable networks like MGM HD were shuttered and rebranded as MGM+.
