The secretive regulator that caught a ride-hailing giant by surprise
In short: In 2021, just two days after DiDi Global raised $4.4 billion in a New York IPO, China's Cyberspace Administration launched an abrupt cybersecurity review. This move, which left markets stunned, highlighted the immense, often opaque power of a regulator that blurs the line between state and party.
The Cyberspace Administration of China (CAC) is not a typical administrative agency. Operating under the CCP's Central Committee, this entity functions as a combined party-state body. Formed in 2011 as the State Internet Information Office (SIIO) within the State Council, it has long been integrated into China's propaganda apparatus. By 2014, it was re-organized to serve as the executive arm of a secretive CCP cybersecurity leading group, and later, the Central Cyberspace Affairs Commission.
The CAC's authority is vast and increasingly complex. While its original remit was managing online content and propaganda, its scope has expanded to include cybersecurity, data security, and privacy regulation. This gives it potential jurisdiction over almost all sectors touched by online activity, from private corporations to foreign entities. Because it lacks many formal attributes of standard administrative agencies—such as institutional transparency and accountability—its decision-making processes can remain highly obscured.
The 2021 DiDi Global case serves as a landmark example of this power. Following the ride-hailing company's New York listing, the CAC launched a cybersecurity review citing unspecified national security risks. This process lasted over a year, exceeding the standard 45-day statutory period. Ultimately, the CAC imposed a $1.2 billion fine on DiDi for unspecified violations of cybersecurity and data laws. The decision document itself was withheld on national security grounds, leaving market participants without clear guidance on how to navigate China's evolving regulatory landscape.
