In short: How does a massive educational powerhouse survive a debt-fueled private equity buyout, a bankruptcy filing, and a shrinking market for paper books? The story of Cengage Group is a masterclass in corporate restructuring, shifting from physical textbooks to digital subscriptions and high-stakes legal battles over AI training data.

Cengage Group's modern identity was forged through a series of aggressive acquisitions beginning in 1979. The company evolved from International Thomson Publishing into Thomson Learning in 2000, eventually being sold in 2006 for an estimated $5 billion. A private equity consortium led by Apax Partners and OMERS Capital Partners purchased the entity for $7.75 billion, rebranding it as Cengage Learning in July 2007. This rapid expansion, however, left the company burdened with significant debt just as the market for traditional paper textbooks began to contract.

The financial pressure culminated in a Chapter 11 bankruptcy filing on July 2, 2013. After shedding roughly $4 billion in funded debt and obtaining $1.75 billion in exit financing, the firm exited bankruptcy on 1 April 2014. This pivot forced a strategic shift toward digital study guides and educational supplements. A key milestone in this transition was the 2017 launch of Cengage Unlimited, a subscription model allowing students to access the entire digital higher education catalog rather than purchasing individual titles.

Today, Cengage Group maintains a significant market share of 24%, trailing only Pearson. The company's trajectory has been marked by high-stakes maneuvers, including a proposed 2019 merger with McGraw-Hill Education to create a duopoly—a deal that was ultimately called off in May 2020. More recently, the company has moved into the frontier of intellectual property rights, joining a 2026 lawsuit against Meta Platforms over the unauthorized use of books and journals to train the Llama AI model.
