How a 19th-century Ohio oil producer became a global energy giant before its final acquisition
In short: Founded in 1887 as the Ohio Oil Company, Marathon evolved from a small regional producer into a massive, multi-faceted energy corporation. Through decades of corporate restructuring, acquisitions, and a major 2011 split, the brand navigated the complex landscape of global oil markets before being acquired by ConocoPhillips in 2024.
The story of Marathon began in Lima, Ohio, in 1887. By 1889, it fell under the control of the Standard Oil Trust, a relationship that lasted until the U.S. Supreme Court ordered the breakup of the combine in 1911. Once independent, the company expanded beyond its initial role as a producer, eventually acquiring the Transcontinental Oil Company in 1930. This purchase brought with it the Marathon brand name and its iconic long-distance runner trademark, which the company officially adopted as its own name in 1962.
The latter half of the 20th century saw Marathon undergo significant structural shifts. In 1982, it became a subsidiary of the United States Steel Corporation, eventually forming part of the USX Corporation in 1986. By 2001, the steel business was separated, and the entity was renamed Marathon Oil Corporation. A pivotal moment occurred in 2011 when the company split into two distinct, publicly held firms: Marathon Oil Corporation, which focused on upstream exploration and production, and Marathon Petroleum Corporation, which handled downstream refining and marketing.
In its final years as an independent entity, Marathon Oil Corporation maintained a diverse portfolio, including operations in the North Sea, the Gulf of Mexico, and Equatorial Guinea. The company’s trajectory culminated in May 2024, when rival ConocoPhillips announced an acquisition deal valued at $22.5 billion. The transaction closed in November 2024, marking the end of Marathon Oil’s tenure as an independent corporation. Meanwhile, Marathon Petroleum continues to operate as a separate entity, focused on the distribution of automotive fuel and other petroleum products.
